These Terms and Conditions ("Terms") govern your purchase and use of desktop software applications ("Software") developed by Poledna Solutions ("Vendor", "we", "us"), sold through Paddle.com as our Merchant of Record. By purchasing or using our Software, you ("Customer", "you") agree to be bound by these Terms.

1. Definitions

  • "Vendor" refers to Poledna Solutions, the developer and licensor of the Software.
  • "Paddle" refers to Paddle.com Market Limited, the Merchant of Record responsible for processing payments and handling billing.
  • "Customer" refers to any individual or entity purchasing or using the Software.
  • "Software" refers to the desktop application(s) made available for purchase by the Vendor.
  • "License" refers to the right granted to use the Software under these Terms.

2. Merchant of Record

All purchases are processed by Paddle.com Market Limited, which acts as the Merchant of Record for transactions. This means:

  • Paddle is responsible for payment processing, applicable taxes (including VAT and sales tax), currency conversion, and billing inquiries.
  • Your purchase receipt and invoices will be issued by Paddle.
  • Paddle's Buyer Terms apply to the payment processing aspect of your purchase.

3. License Grant

Upon successful payment, the Vendor grants you a non-exclusive, non-transferable license to use the Software, subject to these Terms. This license is:

  • Per-user: The license is tied to the purchasing account and may be used on multiple personal devices owned by the same user.
  • Perpetual (one-time purchases): You may continue to use the version of the Software you purchased indefinitely.
  • Subscription (recurring purchases): Your license remains active for the duration of your paid subscription period. Access to the Software ends when the subscription expires or is cancelled.

You may not:

  • Redistribute, sublicense, rent, lease, or lend the Software to third parties.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
  • Modify, adapt, or create derivative works based on the Software.
  • Remove or alter any proprietary notices, labels, or marks on the Software.

4. Delivery

The Software is delivered digitally. Upon successful payment, you will receive access to download the Software via email from Paddle or through the Vendor's website. The Vendor is not responsible for delivery failures caused by incorrect email addresses or network issues on the Customer's end.

5. Pricing and Payment

All prices are listed on the product page and may change without prior notice. Paddle handles all payment processing, including currency conversion and applicable taxes. Prices displayed at checkout include applicable taxes as calculated by Paddle based on your location.

6. Refund Policy

We offer a 7-day money-back guarantee from the date of purchase. If you are not satisfied with the Software, you may request a full refund within 7 days of the original purchase date by contacting Paddle Support.

After the 7-day refund period, all sales are final and no refunds will be issued.

EU Customers: Because the Software is a digital good delivered immediately upon purchase, the right of withdrawal does not apply once delivery has begun with your prior express consent, in accordance with the EU Consumer Rights Directive (2011/83/EU, Article 16(m)). Our 7-day money-back guarantee provides additional protection beyond the minimum legal requirements.

7. Intellectual Property

The Software and all associated materials, including but not limited to code, design, graphics, documentation, and trademarks, remain the exclusive intellectual property of Poledna Solutions. Your purchase grants a license to use the Software, not ownership of it.

8. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express or implied. The Vendor disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Vendor does not warrant that the Software will be error-free, uninterrupted, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Vendor's total liability arising out of or in connection with these Terms or the use of the Software shall not exceed the amount you paid for the Software. The Vendor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the theory of liability.

10. Termination

The Vendor may terminate your License if you violate any provision of these Terms. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession.

11. Changes to These Terms

The Vendor reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Software after any modifications constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Prague, Czech Republic.
